Service Provider Terms

Service providers using Vroomly agree to:

• Honor quoted prices and service agreements

Payments and Fees

Payment terms are agreed upon directly between customers and service providers. Vroomly may charge subscription fees or transaction fees to service providers as outlined in separate agreements.

All fees are non-refundable unless otherwise specified.

Intellectual Property

The platform, including all content, features, and functionality, is owned by Vroomly and is protected by copyright, trademark, and other intellectual property laws.

You retain ownership of content you submit, but grant us a license to use, display, and distribute it in connection with operating the platform.

Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

We do not warrant that the platform will be uninterrupted, error-free, or free of viruses or other harmful components.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PITPASS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES.

Our total liability shall not exceed the amount you paid to Vroomly in the twelve months preceding the claim.

Indemnification

You agree to indemnify and hold Vroomly harmless from any claims, damages, losses, liabilities, and expenses arising from your use of the platform or violation of these terms.

Dispute Resolution

Any disputes arising from these terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

You waive any right to participate in class action lawsuits or class-wide arbitration.

Governing Law

These terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions.

Changes to Terms

We reserve the right to modify these terms at any time. We will notify users of material changes by posting the updated terms on this page with a new "Last updated" date.

Severability

If any provision of these terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
